
Legal Specialist - Commercial Transactions and Entity Management

- Coordinate the signatures of legal documents in accordance with a defined process including arrangements with outside counsels, notaries and apostilles.
- Support corporate governance by drafting shareholder and board resolutions, nomination/removal letters, powers of attorney, and other relevant resolutions for subsidiaries.
- Update and maintain a corporate entity database, including information relating to shareholders, directors, officers, addresses and shareholding structure and documents such as meeting minutes, resolutions; and provide customized corporate information reports as requested.
- Support filing of annual reports, registering to do business.
- Review and draft non-disclosure agreements and other types of routine agreements and contracts such as vendor contract and service agreements in accordance with defined rules and checklists and under supervision and training of attorneys.
- Manage virtual data-room for special projects.
- Support commercial teams within Adient in other regions from time to time.
- Conduct legal research.
- Provide data on external legal services and costs to the legal team. Co-ordinate with outside counsel and internal finance teams on billing and payment matters.
- Assist with special and/or strategic projects.
- Create, generate, compile, and edit reports, presentations, and spreadsheets, including an ability to analyze and process multiple sources of data.
- Provide other support and perform other duties as assigned from time to time.
- At least 7 years of legal experience with an major law firm or corporate law department.
- Legal education is preferred.
- Fluent oral and written communication skills in English are required.
- Detail-oriented, self-motivated, and analytical.
- Demonstrated effective oral and written communication and organizational skills.
- Strong organizational, problem-solving, and interpersonal skills.
- Must be able to multi-task, be flexible, and be able to prioritize and complete projects effectively and efficiently.
- High proficiency in Microsoft Office Suite of products such as WORD, Excel, and PowerPoint.
- Familiarity with web-based technology or other law firm software, such as e-billing software (CounselLink®, Serengeti, Tymetrix), document management system (iManage®), virtual data room (Intralinks, Merrill), and/or entity management software, is a plus.
- Experience working with third party vendors, including outside legal counsel.
- Demonstrated ability to maintain a high level of confidentiality and handle sensitive information.
- Base monthly salary starting from 2400 EUR gross. Our salary is fair and competitive and can be higher than the starting minimum in the advertisement
